Terms of Service

1. Agreement to Terms

By accessing or using the Zyntriq Dispatch platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and organization members who access the Service.

2. Description of Service

Zyntriq Dispatch provides automated route optimization, driver assignment, live schedule coordination, and telemetry monitoring tools for logistics and delivery teams. We continuously update and refine our algorithms and user interfaces, and we reserve the right to modify or discontinue any part of the Service at any time.

3. Account Registration & Security

To use the portal features, you must register for an account and establish a workspace (tenant). You agree to:

• Provide accurate, current, and complete organization and contact information.
• Maintain the confidentiality of your workspace credentials and API keys.
• Immediately notify us of any unauthorized use or security breach of your account.
• Accept full responsibility for all activities that occur under your workspace credentials.

4. Subscriptions, Fees, and Cancellations

Certain parts of the Service are billed on a subscription basis.

• Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual basis, processed securely through Stripe.
• Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.
• Cancellations & Refunds: You can cancel your subscription at any time through your workspace billing portal. Unless specified otherwise, payments are non-refundable, and you will retain service access until the end of your active billing period.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload, store, or transmit malicious code, viruses, or disruptive files.
• Interfere with or compromise the integrity, security, or performance of the routing engine or API routes.
• Attempt to gain unauthorized access to other workspaces or system databases.
• Use automated web crawlers or scrapers to extract pricing data, competitor details, or software configurations.
• Violate local, state, national, or international transport, traffic, or data protection laws.

6. Intellectual Property Rights

The Service, including all source code, design systems, logos, databases, UI components, and proprietary routing algorithms, is and remains the exclusive property of Zyntriq. You are granted a limited, non-exclusive, non-transferable, revocable license to access the platform during your active subscription. You may not reverse engineer, copy, or redistribute any part of our platform.

7. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND.

Zyntriq Dispatch does not guarantee that the routes generated will be completely free of errors, traffic delays, weather interruptions, or road closures. We are not liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, lost revenue, or delivery delays—arising from your use of or inability to use the Service.

8. Account Suspension & Termination

We reserve the right to suspend or terminate your account and workspace access immediately, without prior notice or liability, if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees when due.

9. Governing Law

These Terms shall be governed, construed, and enforced in accordance with the laws of the jurisdiction in which Zyntriq operates, without regard to its conflict of law provisions.
